"The Company," "Ourselves," "We," "Our," and "Us" refer to EditAxis Video Editing Agency. "Party," "Parties," or "Us" refers to both the Client and ourselves.

Services: EditAxis provides professional video editing services including but not limited to: raw footage editing, color grading, motion graphics, sound design, subtitling, and video post-production. All services are delivered digitally unless otherwise agreed upon in writing.

License & Intellectual Property: Unless otherwise stated in a separate project agreement, the following applies:

• Upon full payment, the Client receives full usage rights to the final edited video content.

• EditAxis retains the right to use completed projects in its portfolio and marketing materials unless the Client requests otherwise in writing.

• All raw files, project files, and source assets remain the property of EditAxis unless explicitly transferred in writing.

• The Client warrants that all footage, music, and materials submitted to EditAxis are owned by them or properly licensed, and that their use does not infringe on any third-party rights.

You must not:

• Resell or sublicense EditAxis's editing templates, workflows, or proprietary processes

• Reproduce, duplicate, or copy EditAxis's internal tools or methodologies

• Redistribute or resell our services without prior written consent

Client Responsibilities: The Client agrees to:

• Provide all necessary footage, assets, and project briefs in a timely manner

• Provide clear and reasonable feedback within agreed timeframes

• Ensure all submitted materials are legally owned or licensed by the Client

• Not hold EditAxis liable for delays caused by late submission of assets or feedback

Project Terms & Revisions:

• Project timelines and deliverables will be outlined in a separate project agreement or proposal

• Revision rounds are limited to the number specified in the project agreement

• Additional revisions beyond the agreed scope may incur extra charges

• EditAxis is not responsible for delays caused by the Client's failure to provide timely feedback or materials

Payment Terms:

• Payment terms will be outlined in the project proposal or invoice

• EditAxis reserves the right to withhold final deliverables until full payment has been received

• Late payments may be subject to additional fees as outlined in the project agreement

Hyperlinking to our Content: The following organizations may link to our website without prior written approval:

• Government agencies

• Search engines

• News organizations

• Online directory distributors in the same manner as they hyperlink to other listed businesses

• System wide Accredited Businesses, except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups

EditAxis is not liable for any loss of data, footage, or files submitted by the Client. Clients are advised to retain backup copies of all original footage and assets at all times.

Confidentiality: EditAxis agrees to keep all Client materials, project details, and business information confidential and will not disclose them to third parties without prior written consent, unless required by law.

Governing Law: These terms and conditions are governed by and construed in accordance with applicable laws, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
